Digital Products and Data Contribution Agreement
Please read this Agreement before purchasing a digital product that uses customer-contributed racing data, video, audio, or related information. The checkout gate records the version you accepted.
1. Agreement and eligibility
This Digital Products and Data Contribution Agreement (the “Agreement”) is between you and SoCal N Motorsports (“SoCal N,” “we,” or “us”). It applies when you buy, access, or submit data, telemetry, timing files, audio, photographs, onboard video, broadcast video, setup information, notes, or related materials for a digital product or service.
You must be at least 18 years old and authorized to accept this Agreement for yourself and any driver, team, vehicle owner, employer, or organization whose materials you submit.
2. Digital services and production status
Digital products may use automated analysis, machine learning, computer vision, language models, deterministic analytics, and human review. Production services may evolve as our methods, supported formats, and delivery workflows improve, but each paid deliverable is reviewed under the service standard stated on its product page.
Estimated delivery times are targets, not guarantees. We may ask for replacement files or additional context when a contribution is incomplete, corrupted, unsupported, or cannot be matched reliably.
3. Your contributed materials and authority
“Contributed Materials” means everything you upload, transmit, make available, or authorize us to collect in connection with a digital product. “Contributed Data” means telemetry, timing, sensor signals, vehicle and setup information, logs, measurements, factual event information, and associated metadata within those materials. “Source Media” means photographs, video, audio, and other copyrightable recordings.
You represent and warrant that you own the Contributed Materials or have all permissions required to submit them and grant the rights in this Agreement. This includes permissions relating to drivers, passengers, voices, likenesses, teams, vehicle owners, camera operators, event organizers, sanctioning bodies, music, broadcasts, sponsors, tracks, and confidential team information. You will not submit unlawfully obtained data or material that infringes another person’s rights.
4. Ownership and license for Contributed Materials
To the maximum extent transferable by law, you assign to SoCal N all right, title, and interest you hold in the Contributed Data upon submission, subject to applicable privacy law and any express written limitation accepted by SoCal N before submission. You keep any copyright or other pre-existing intellectual-property rights you hold in Source Media and other raw materials that cannot or are not assigned under the preceding sentence.
For all Contributed Materials and retained rights, you grant SoCal N a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free, fully paid license to host, store, copy, reproduce, convert, synchronize, annotate, modify, analyze, extract from, combine, create derivative works from, distribute, display, perform, commercialize, and otherwise use them.
The license includes use for fulfilling your order; operating, testing, securing, evaluating, demonstrating, and improving the platform; training and evaluating models; creating datasets, benchmarks, products, and services; serving drivers, teams, coaches, engineers, organizers, broadcasters, sponsors, technology providers, and other partners; and commercial licensing or other transactions approved by SoCal N.
We will not use your identity, likeness, team identity, or identifiable footage in public advertising without separate permission. We may use identity-linked materials to fulfill the service, maintain provenance and rights records, prevent fraud, conduct internal or confidential partner evaluation, and provide authorized platform functions.
5. SoCal N ownership of platform and derived data
As between you and SoCal N, SoCal N exclusively owns the platform, workflows, schemas, normalized and structured data, synchronized timelines, metadata, taxonomies, labels, annotations, detections, features, embeddings, metrics, comparisons, event associations, confidence values, aggregated or de-identified data, datasets, benchmarks, prompts, methods, software, models, model weights, improvements, and other information or technology created, inferred, extracted, or developed from or with the Contributed Materials (“Derived Data”).
To the extent any ownership right in Derived Data could vest in you, you hereby assign that right to SoCal N. SoCal N may use, license, sell, disclose, and commercialize Derived Data without further payment or approval. This ownership and assignment survive completion, cancellation, refund, account closure, and termination of this Agreement.
6. Privacy, identity, and de-identification
We may process names, contact information, driver and vehicle identifiers, voices, likenesses, location and event details, and other information contained in the Contributed Materials as needed for the purposes in this Agreement. Where commercially and technically reasonable, external datasets and commercial analytics may be aggregated or de-identified unless identity-linked use is authorized or necessary for the requested service or platform function.
De-identification cannot guarantee that information will never be re-identified, especially when race results, public video, vehicle numbers, timing, or event details are publicly available.
7. Deliverables and customer license
Subject to payment and this Agreement, we grant you a non-exclusive, non-transferable license to use the delivered report, analysis, and clips for your personal driving, internal team operations, coaching, engineering review, sponsor reporting, and your own social and promotional channels. You may not resell, sublicense, train a competing system on, remove provenance from, or represent the deliverable as an independently validated safety or engineering certification.
Third-party materials remain subject to their owners’ rights. A deliverable does not transfer rights in music, broadcasts, event footage, track marks, series marks, or other third-party content.
8. AI limitations and safety
Outputs may be incomplete, uncertain, or wrong. Human review reduces risk but does not eliminate it. Digital products are informational and are not a substitute for qualified driver coaching, engineering inspection, mechanical diagnosis, safety preparation, medical advice, legal advice, or compliance with event rules.
Motorsport is dangerous. You are responsible for every driving, setup, maintenance, staffing, and safety decision. Do not act on an output unless a qualified person has evaluated it in the actual context of the vehicle, driver, track, conditions, and rules.
9. Retention, security, and deletion requests
We may retain Contributed Materials and records for fulfillment, support, audit, security, research, product development, legal compliance, and the licensed purposes above. We use reasonable safeguards, but no storage or transmission system is guaranteed secure or uninterrupted.
You may request deletion of identifiable source materials through our contact form. We may retain materials when legally required or reasonably necessary for disputes, fraud prevention, security, rights records, or contractual obligations. Deletion does not require us to remove Derived Data, aggregated or de-identified information, audit records, backups awaiting normal expiration, or information already incorporated into datasets, evaluations, or trained models.
10. Payments, cancellation, and refunds
Payment is processed by the checkout provider. Because capacity is reserved and work may begin promptly, digital products are generally non-refundable after upload, processing, or human review begins. If we cannot perform the purchased service using the submitted materials, we may request replacement materials, offer store credit, provide a partial result, or issue a refund at our discretion and as required by law.
11. Disclaimers and limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL PRODUCTS, OUTPUTS, AND PLATFORM FUNCTIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SAFETY, PERFORMANCE IMPROVEMENT, OR UNINTERRUPTED AVAILABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCAL N AND ITS OWNERS, PERSONNEL, CONTRACTORS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, VEHICLE DAMAGE, PERSONAL INJURY, OR RACING LOSSES ARISING FROM A DIGITAL PRODUCT OR OUTPUT. OUR TOTAL LIABILITY FOR A CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE DIGITAL PRODUCT GIVING RISE TO THE CLAIM. RIGHTS THAT CANNOT LAWFULLY BE LIMITED REMAIN UNAFFECTED.
12. Indemnity
You will defend, indemnify, and hold harmless SoCal N and its owners, personnel, contractors, and partners from claims, losses, liabilities, and reasonable costs arising from your Contributed Materials, your breach of this Agreement, your lack of authority or permissions, or your use of a deliverable. This obligation does not apply to the extent a claim results from SoCal N’s willful misconduct where it cannot lawfully be limited.
13. Governing law and general terms
California law governs this Agreement without regard to conflict-of-law rules. Any court proceeding must be brought in the state or federal courts serving the California county in which SoCal N’s principal place of business is then located, and each party consents to that jurisdiction and venue.
If a provision is unenforceable, it will be narrowed only as much as necessary and the rest will remain effective. This Agreement, the applicable product description, and any signed service agreement form the entire agreement about the digital product and data contribution. A signed service agreement controls to the extent of a direct conflict. We may update this Agreement prospectively; the version accepted for an order governs that order unless both parties agree otherwise.
